Terms of Service

This is a working draft for a product that is not yet live. The operating company is not yet incorporated (entity name, jurisdiction, and registration number pending). These terms describe how TransactPlus is intended to work. They are not legal advice and have not been reviewed by counsel. We will update them before the platform launches and when the company is formed.

1. Who these terms are for

These terms are an agreement between you and TransactPlus (“we”, “us”). They cover two kinds of user:

By using the site or the platform, you agree to these terms and to our Privacy Policy.

2. What TransactPlus is (and is not)

TransactPlus is a livestream payments product. Viewers pay by card — a one-off tip or a monthly subscription. Streamers get OBS alerts (including on subscribe and renew), customizable overlay tiers, subscriber badges, and emotes they upload. We are the merchant of record: viewers are billed by TransactPlus, not by individual streamers. We deduct a platform fee and credit the remainder to the streamer as a TransactPlus balance. Streamers withdraw that balance in USDT to a wallet they control.

TransactPlus is not a bank, not a money-transmitter in every jurisdiction, and not a crypto exchange. Balances are not deposits, are not FDIC-insured (or equivalent), and do not earn interest. USDT is a third-party USD-pegged stablecoin; we do not issue it and we do not guarantee its peg.

3. Eligibility

4. Viewer tips and subscriptions

A tip is a voluntary, one-off payment to support a streamer. A subscription is a voluntary recurring card charge. Streamers set their own tiers (names, prices, how many). A subscriber leaves a card on file with our payment processor; we charge that card each month until they cancel. Neither a tip nor a sub is a purchase of goods or an investment. Tips are generally non-refundable, except where a chargeback, network dispute, or applicable consumer law requires otherwise. Cancelling stops future charges; amounts already processed follow the same refund and chargeback rules as tips.

Subscribers may receive perks the streamer configures — a badge for that tier (in chat and on stream), emotes the streamer uploads, and an OBS overlay when they subscribe or when a month renews. Those perks are not a paid product from TransactPlus and are not guaranteed if the streamer changes or removes them.

We currently accept Visa, Mastercard, and American Express where our card processing is available. Availability can change. You authorise us to charge the card you present for each tip and, if you subscribe, for each monthly renewal until you cancel.

5. Fees

We charge a flat 15% platform fee on each tip and on each subscription charge. That fee covers payment processing, the platform, and payouts. Example: a viewer pays $100; we take $15; $85 is credited to the streamer’s balance.

We do not add hidden fees on top of that 15% — no extra charge for alerts, badges, emotes, or payouts. Card issuers may still charge their own foreign-transaction or cash-advance fees; those are between you and your bank.

6. Streamer balances and withdrawals

7. Stream alerts, badges, and emotes

Streamers can show card tips, new subscriptions, and renewals on their broadcast using a browser source in OBS (or equivalent). They may customize that overlay (GIF, type, colors, optional text-to-speech) and set different looks by amount. Viewers do not buy graphics from TransactPlus; the streamer controls what appears.

Subscriber badges and emotes are created or uploaded by the streamer. You must have the rights to any image, GIF, font, voice, or emote you use. We may remove overlays or perks that violate these terms or the law.

8. Prohibited use

You may not use TransactPlus to:

We may hold, reverse, or refuse a tip or withdrawal where we reasonably suspect any of the above.

9. Chargebacks and disputes

If a viewer’s bank or card network opens a chargeback, we may debit the streamer’s balance for the disputed amount and any network fees, and we may delay withdrawals while the dispute is open. Repeated chargebacks can result in account closure.

10. Crypto and stablecoin risk

Crypto assets are volatile and are not bank deposits. USDT is intended to track the US dollar but can deviate, freeze, or fail. Blockchain transactions are public and usually irreversible. You accept these risks when you withdraw.

11. Intellectual property

The TransactPlus name, logo, and site content are ours or our licensors’. You may not use them except as needed to use the platform. Streamers keep the rights in their own streams, likeness, badges, and emotes; by using the platform you grant us a limited licence to display your name, handle, stream information, badges, and emotes so viewers can tip and subscribe.

12. Disclaimers

The site and platform are provided “as is” and “as available”. We do not warrant uninterrupted service, error-free payouts, or that USDT will hold its value. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of liability

To the fullest extent permitted by law, TransactPlus and its operators will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or lost tips, even if we were told they were possible. Our total liability for any claim relating to the service is limited to the greater of (a) the platform fees you paid us in the 12 months before the claim, or (b) $100. Some jurisdictions do not allow these limits; in those places, our liability is limited to the minimum the law requires.

14. Changes

We may update these terms. The “Last updated” date at the top will change. Material changes will be posted on this page; continued use after that date is acceptance. If you do not agree, stop using the service.
